Job Desc:
* To provide legal support and advice to the Group for all corporate matters and liaise with external lawyers.
* To ensure full compliance of all corporate affairs with the Company Law of listing companies and other local regulatory requirements in Hong Kong.
* To review and draft business contracts and legal document of the Group.
* To supervise the Company Secretary team in Hong Kong.
* To coordinate with the Group Secretary and In-house Legal Counsel in North America for fulfilling the respective requirements of the Securities and Exchange Commission in U.S.A.
Requirements:
* Solicitor/barrister with min 10 years of post-qualification experience in listing and corporate financial transactions in Hong Kong.
* Good experience in handling merger & acquisition with strong skill in drafting commercial contracts or legal document to comply with the legal requirements in Hong Kong.
* Experience and knowledge of PRC regulations will be an advantage.
* Experienced in taking charge of corporate legal affairs and company secretarial matters in listing companies in Hong Kong.
* Excellent command of spoken and written English and Chinese, dedicated, mature, result oriented, able to work independently with strong management skills and under pressure.
